DREAMSTACK FAIR USE POLICY

This Fair Use Policy forms part of the Services and is incorporated into the Dreamstack Software as a Service Subscription Agreement (the Agreement) between Conquer AI and the Customer. Capitalised terms used but not defined in this Policy have the meanings given to them in the Agreement. This Policy is intended to support the operation of the Services; it does not replace or override the Subscription Tiers, Usage entitlements or pricing set out in the Agreement. In the event of any conflict between this Policy and the main body of the Agreement, the main body of the Agreement prevails.

1. Purpose and scope

1.1 This Policy describes what Conquer AI considers to be reasonable and acceptable use of the Services within a Subscription Tier. It applies to the Customer and to all Authorised Users.

1.2 The purpose of this Policy is to keep the Services available, reliable, secure and fairly allocated across all customers, and to set out how Conquer AI addresses use that is excessive or materially inconsistent with a Subscription Tier.

1.3 This Policy supports the Agreement and does not replace or override the Subscription Tiers, Usage entitlements or pricing set out in the Agreement.

2. Fair use principle

2.1 The Customer may use the Services for its internal business purposes across multiple workflows, use cases, teams and projects, consistent with its Subscription Tier and the Agreement.

2.2 Use is considered fair where it is consistent with normal business use of the Services within the applicable Subscription Tier and its included Dreamstack Credit allocation. Conquer AI does not impose fixed limits on the number of projects, workflows or Authorised Users; instead, consumption is measured and governed through Dreamstack Credits as set out in Clause 12 of the Agreement and in this Policy.

2.3 Use that is materially inconsistent with the applicable Subscription Tier — including unusually intensive, automated or "super-user" patterns that consume resources materially beyond the levels reasonably contemplated by the Tier — is addressed through Dreamstack Credit charges as set out in Clause 4.

3. Dreamstack Credits and consumption

3.1 Each Subscription Tier includes a monthly allocation of 20,000 Dreamstack Credits, which measure and govern consumption of AI inference resources through the Dreamstack platform.

3.2 Conquer AI monitors Dreamstack Credit consumption on a real-time basis, in accordance with Clause 12 of the Agreement. Where consumption approaches or reaches the monthly allocation, Conquer AI will use reasonable endeavours to notify the Customer.

3.3 Unused Dreamstack Credits expire at the end of each monthly billing period and do not roll over.

4. Excess consumption and charges

4.1 Where the Customer's consumption exceeds its included Dreamstack Credit allocation, excess usage will be charged at the applicable rate set out in the Order Form or as otherwise agreed in writing.

4.2 Excess Dreamstack Credit charges are triggered automatically upon depletion of the included allocation and are billed in accordance with Clause 12 of the Agreement.

4.3 Conquer AI reserves the right to apply rate limiting or temporary service restrictions where consumption is materially excessive and poses a risk to service availability for other customers, provided that Conquer AI will use reasonable endeavours to notify the Customer before doing so.

5. Prohibited and restricted use

5.1 The following uses are prohibited under this Policy and the Agreement:

  • use of the Services for automated bulk processing or scraping at a scale that is materially disproportionate to the Customer's Subscription Tier;
  • use of the Services to train, fine-tune or distil third-party AI or machine learning models without Conquer AI's prior written consent;
  • reselling, sublicensing or otherwise making the Services available to third parties outside the scope permitted by the Agreement;
  • any use that violates applicable law, third-party rights or Conquer AI's Acceptable Use Policy.

5.2 Conquer AI may suspend or restrict access to the Services where prohibited use is identified, in accordance with the Agreement.

6. Monitoring and enforcement

6.1 Conquer AI monitors usage of the Services for the purposes of service management, billing, security and compliance with this Policy.

6.2 Where Conquer AI identifies use that appears inconsistent with this Policy, it will ordinarily seek to engage with the Customer before taking enforcement action, unless immediate action is required to protect service integrity or comply with applicable law.

7. Changes to this Policy

7.1 Conquer AI may update this Policy from time to time. Where changes are material, Conquer AI will provide reasonable notice in accordance with the Agreement.

7.2 Continued use of the Services following notification of a material change constitutes acceptance of the updated Policy.

9. Governing law

9.1 This Policy is governed by and construed in accordance with the laws of England and Wales, consistent with the main body of the Agreement, the main body of the Agreement prevails.
